1. Purpose

This Non-Disclosure Agreement (NDA) Policy ensures the protection of confidential and proprietary information shared with or by employees, vendors, partners, clients, and other stakeholders. It defines the procedures and expectations related to execution, handling, and enforcement of NDAs at Credknow Solutions Private Limited ("Credknow").

2. Scope

  • All employees, consultants, interns, and board members.
  • All third-party service providers, vendors, partners, and clients.
  • All types of communication—verbal, written, digital, etc.

3. Definition of Confidential Information

Includes but is not limited to:

  • Business plans, strategies, financial data, and forecasts.
  • Customer, vendor, and client lists or data.
  • Proprietary algorithms, software, and credit assessment frameworks.
  • Non-public operational processes or methodologies.
  • Legal documents, agreements, and internal reports.
  • Any information treated or marked as confidential.

4. NDA Requirements

Mandatory NDA Execution

  • NDA must be signed before any confidential information is shared.
  • New employees sign NDAs during onboarding.
  • Vendors and consultants sign NDAs before system or data access.

Mutual and One-Way NDAs

  • Use Mutual NDA when both parties share confidential info.
  • Use One-Way NDA when only one party discloses info.

5. Responsibilities

Employees and Internal Stakeholders

  • Do not share confidential info without authorization.
  • Obligation continues post-employment or engagement.
  • Report unauthorized disclosures immediately.

External Parties

  • Use confidential info only for intended purpose.
  • No disclosure to third parties without written consent.
  • Take reasonable steps to protect received information.

6. Duration of Confidentiality

Confidentiality obligations usually last 3–5 years post-NDA termination or end of business relationship, unless stated otherwise. For trade secrets, obligations may continue indefinitely.

7. Breach and Enforcement

  • Violations are serious offenses and may lead to disciplinary or legal action.
  • Credknow may pursue damages, injunctive relief, or legal remedies.

8. Storage and Access

  • NDAs stored securely in the company’s document management system.
  • Access limited to Legal, Compliance, HR, and senior management.

9. Review and Update

Policy reviewed annually or upon major legal/regulatory changes. Updates approved by Legal & Compliance and communicated accordingly.
